National Fuel Gas said on 14 October that its board approved a plan to separate its Integrated Upstream and Gathering business. The proposal would make its Appalachian natural-gas production and gathering operations a standalone public company.

The separation is expected in the second half of 2027 through a tax-free share distribution; current shareholders would keep their National Fuel shares and receive shares in the new company pro rata. National Fuel would retain its gas utilities, pipeline and storage assets in Ohio, New York and Pennsylvania. The board decision follows the company’s September timeline to complete its evaluation; the transaction has not closed. Completion remains subject to conditions including effective SEC filings, financing arrangements and final board approval.
