Climb Global Solutions said on 22 October that it had completed its acquisition of NeoVAD, a France-based distributor of cybersecurity, cloud and virtualization products. The US-listed company put the aggregate purchase price at approximately €16.0 million. The transaction expands Climb’s European distribution platform and adds a business focused on reseller partners in France.
NeoVAD operates an indirect, two-tier distribution model in France, serving resellers, integrators and managed-service providers rather than selling directly to end users. Climb says the business has approximately 300 active reseller relationships. Its vendor portfolio includes cybersecurity, cloud and virtualization providers such as Cato Networks, DataCore and Netwrix. NeoVAD supports partners with presales advice, technical training, marketing and demand generation, which Climb says helped build its position in the French channel.
Climb expects to use that local channel to extend its broader European platform. Management said NeoVAD’s partner network could receive more of Climb’s portfolio, while Climb could combine existing EMEA capabilities with NeoVAD’s local training and technical-support expertise to expand Microsoft distribution. These are strategic opportunities described by the buyer, not quantified or completed synergies. Climb also said NeoVAD’s stronger margin profile supports its profitability objectives and that the deal is expected to add to earnings and adjusted EBITDA, subject to integration and retention risks.
Climb reported NeoVAD EBITDA of approximately €2.2 million for the fiscal year ended 31 December 2025 and approximately €378,000 in the prior year. The buyer reported growth of 487%; because both EBITDA amounts are rounded, their displayed values do not reproduce that percentage exactly. Climb said the figures came from NeoVAD management’s internal financial statements and may not be comparable with Climb’s non-GAAP measures. They are therefore company-reported figures, not audited numbers in this announcement, and should be interpreted using those stated limitations.
Climb expects the acquisition to be accretive to earnings and adjusted EBITDA, according to the announcement. That statement is forward-looking and depends on the businesses achieving anticipated results and integration. The buyer noted risks that could affect the expected benefits, including retaining NeoVAD personnel, resellers and vendor relationships, integrating operations and systems, and changes in vendor arrangements or market conditions. The company did not disclose a quantified earnings contribution or the timing of any expected accretion.
NeoVAD is headquartered in Boulogne-Billancourt and serves partners across the French market. Climb operates in the United States, Canada and Europe through Climb Channel Solutions, Grey Matter and Climb Global Services. The acquisition is complete, and Climb said further transaction information would appear in a Form 8-K filing. Its forward-looking statements also identify integration of staff, systems and distribution operations, retention of employees, resellers and vendor relationships, and changes in vendor terms or market conditions as risks to expected benefits.
The purchase price and operating figures in the announcement are denominated in euros; the release also supplied dollar equivalents, which are omitted here to avoid introducing a conversion. Climb said it would file a Current Report on Form 8-K with the US Securities and Exchange Commission on 22 October containing additional information. The acquisition is complete, but the financial and strategic benefits described by management remain expectations.
