Cascade Copper Corp. announced on October 23 that it plans a non-brokered private placement of critical-mineral flow-through shares for gross proceeds of up to C$800,000. The company said the proceeds are intended for eligible Canadian exploration expenses, primarily drilling and exploration at its critical-mineral projects in British Columbia and Ontario. The announcement describes a proposed financing, not cash already raised or exploration already completed.

The offered flow-through shares are priced at C$0.06 each. Cascade said it expects the offering to close by the end of October, subject to conditions that include required approvals and acceptance by the Canadian Securities Exchange. The company may pay finders’ fees of up to 8% in cash and 8% in warrants on proceeds raised directly by a finder. Final proceeds, share issuance and fees therefore depend on subscriptions and closing conditions.

Cascade identified two intended near-term uses: a Phase 2 drilling program at its Centrefire Copper-Gold Project in Ontario, and geophysical surveys at Centrefire and its Copper Plateau project. The company also described geochemical surveys at Centrefire as planned work. These are management’s stated uses and plans; the release does not establish that every activity is funded, permitted, scheduled or underway.

The company said the eligible exploration spending is intended primarily for its projects in British Columbia and Ontario. It described itself as an exploration-stage company evaluating and exploring copper-based mineral properties. The projects named in its corporate overview include Copper Plateau, Centrefire, Rogers Creek, Fire Mountain and Bendor. The financing announcement does not report a new mineral resource, reserve, feasibility study or production decision for any of those properties.

Cascade said it intends to renounce qualifying expenditures to subscribers for the fiscal year ending December 31, 2026, and incur the necessary qualifying expenditures on or before December 31, 2027, subject to applicable requirements. Flow-through tax treatment is tied to qualifying Canadian exploration expenses and the relevant legal rules; the announcement is not a guarantee of a particular tax outcome for an investor.

The offer was also made available to holders who owned Cascade shares at the close of business on October 22 and continued to hold them through closing. Under the cited existing-holder exemption, an investor was generally limited to C$15,000 in a 12-month period unless the required suitability advice was obtained. Cascade also cited a separate investment-dealer exemption. Securities issued in the placement would be subject to a four-month hold from closing, alongside any other applicable restrictions.
