Adjusted EBITDA was 191.4 million dollars, compared with 222.4 million in the previous year’s quarter. The adjusted measure excludes depreciation and amortization, acquisition-related costs and restructuring charges. Management forecast fourth-quarter adjusted EBITDA of 80–100 million dollars, citing seasonality, customer destocking, feedstock costs and planned maintenance.

The company said Olin and Huntsman shareholders had approved their proposed merger and that the US antitrust waiting period had expired. It now expects closing in the first quarter of 2027, subject to remaining regulatory approvals and customary conditions. These milestones do not mean the merger has already been completed.
