Visionary Copper and Gold Mines said on October 22 it had agreed to acquire three mineral licences comprising 69 claims from V.A. French Geological Consultants. The French claims are contiguous with the company’s Stockley claims in central Newfoundland and extend its proposed position along the Pt. Leamington volcanogenic massive sulphide trend. The agreement would give Visionary an undivided 100% interest, subject to acceptance by the TSX Venture Exchange.

The consideration is C$10,000 cash at closing and C$30,000 in Visionary shares. The number of shares will be calculated using the greater of the preceding 30-day volume-weighted average share price and the discounted market price under exchange policy. The vendor would retain a 1% net smelter returns royalty; Visionary has a one-time right to buy the entire royalty for C$1 million. The release does not say the transaction has closed.

The company said the acquired ground overlaps a broad electromagnetic response identified by a 2007 HeliGeoTEM airborne survey across portions of both the French and Stockley claims. Consolidating the two claim blocks would let its exploration team evaluate the older geophysical data together with historical geological and geochemical information across what had been a property boundary.

Visionary says that the historic electromagnetic response crosses both claim groups.

Historical Noranda Exploration records cited by Visionary describe volcanic rocks of the Wild Bight Group, hydrothermal alteration and sulphide mineralization in the area. The release also references a boulder of predominantly massive pyrite with quartz veins that returned historical assays of 0.43% copper, 0.23 grams per tonne gold and 5.8 g/t silver. These are historical results from float, not a new sample collected by Visionary or a defined mineralized body.

The issuer said the boulder may have travelled a considerable distance from its source, so its location does not establish the position, grade or geometry of underlying mineralization. The historical information predates Visionary’s ownership and has not been independently verified by the company’s qualified person. Visionary describes it as relevant for exploration targeting, not as current verified results.

The Pt. Leamington deposit was discovered in the 1970s after Noranda identified an airborne electromagnetic anomaly and then found massive-sulphide boulders nearby, according to the company’s account. Visionary’s stated purpose in acquiring the French claims is to consolidate the extension of the old conductor and integrate historic datasets to refine geological interpretation and determine follow-up priorities. The October announcement reports a conditional land transaction and exploration context, not a new discovery or resource estimate.

Methodology: Transaction terms and licence counts are transcribed from Visionary’s October 22 release. Closing remains subject to TSX Venture Exchange acceptance. Historical geophysical and boulder assay information predates Visionary’s ownership, is unverified by its QP and is not treated as current results.
